1. Acceptance of Terms

7. Confidentiality

7.1 Definition

7.2 Obligations

Each party agrees to:

  • Maintain the confidentiality of the other party's Confidential Information
  • Use the Confidential Information only for purposes related to the Services
  • Not disclose Confidential Information to any third party without prior written consent
  • Protect Confidential Information with the same degree of care used to protect its own confidential information, but no less than reasonable care

7.3 Exceptions

Confidential Information does not include information that:

  • Is or becomes publicly available through no breach of this agreement
  • Is rightfully received from a third party without breach of any confidentiality obligation
  • Is independently developed without use of or reference to the Confidential Information
  • Is required to be disclosed by law or court order, provided that the disclosing party provides prompt notice to allow the other party to seek protective measures

7.4 Survival

The confidentiality obligations set forth in this section shall survive termination of your use of the Site for a period of three (3) years.

By using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
